Book Description
Bribery persists as a global problem, and there are still places in the world where corruption is the norm rather than the exception. U.S. multinational companies operating overseas are confronted with the decision to bribe or not to bribe. The U.S. government has deemed it illegal to bribe foreign officials regardless of where the company operates. The Foreign Corrupt Practices Act (FCPA) is a U.S. law prohibiting U.S. companies and their subsidiaries from paying bribes to foreign officials, consultants, or political parties to obtain or retain business. The FCPA's reach includes non-U.S. companies as well if they have ties with the United States. In recent years, the U.S. Department of Justice (DOJ) and U.S. Securities and Exchange Commission (SEC) have enforced the FCPA aggressively, imposing billions of dollars in corporate fines and penalties. 2018 witnessed the largest monetary settlement in FCPA history (USD 1.8 billion) against the Brazilian energy company Petrobras. In 2019, there were four enforcement actions in the highest penalty category: Ericsson at USD 1 billion; Mobile TeleSystems at USD 850 million; Walmart at USD 282 million, and Fresenius Medical at USD 232 million. Three of these four companies are non-U.S.-based, highlighting the global reach and power of the FCPA. Should the U.S. government punish foreign companies for acts of corruption?

Book Description
As businesses continue to expand globally into new and emerging markets, bribery and corruption risks have increased exponentially. Bribery and Corruption offers a comprehensive look at this growing problem, and at the Foreign Corrupt Practices Act (FCPA) and other international anti-bribery and corruption conventions. Presenting hypothetical examples of situations companies will face, along with practical solutions, the book offers detailed global guidance on a region and country-specific basis. The FCPA prohibits US companies and their subsidiaries from bribing foreign officials, either directly or indirectly through intermediaries, for the purpose of obtaining or retaining business. It also requires companies to keep accurate records of all business transactions and maintain an effective system of internal accounting controls. Internationally, the Organization of Economic Cooperation and Development's (OECD's) anti-bribery convention has been adopted by 38 countries and creates legally binding standards related to bribery of foreign public officials. Written by renowned accounting fraud experts Richard A. Sibery and Brian P. Loughman, and providing an introduction and overview of the Foreign Corrupt Practices Act (FCPA) and international bribery laws, Bribery and Corruption considers: How to conduct FCPA risk assessments and investigations How to consider FCPA specific financial controls How to implement an FCPA compliance program and how to measure FCPA compliance The risk of bribery and corruption continues to be an area of concern for companies around the world, but armed with Bribery and Corruption, it is easier than ever to understand the challenges that exist and how to deal with them.

Book Description
The Foreign Corrupt Practices Act (FCPA) is a critically important statute for combating corruption around the globe. Corruption has corrosive effects on democratic institutions, undermining public accountability and diverting public resources from important priorities such as health, education, and infrastructure. When business is won or lost based on how much a company is willing to pay in bribes rather than on the quality of its products and services, law-abiding companies are placed at a competitive disadvantage, and consumers lose. This book addresses a wide variety of topics, including who and what is covered by the FCPA's anti-bribery and accounting provisions; the definition of a "foreign official", what constitutes proper and improper gifts; travel and entertainment expenses; the nature of facilitating payments; how successor liability applies in the mergers and acquisitions context; the hallmarks of an effective corporate compliance program; and the different types of civil and criminal resolutions available in the FCPA context.
