Book Description
The papers in this book review the Panel's work over its first decade, providing insight into its key policies on such matters as 'frustrating action' by target boards and 'truth in takeovers'. The delicate relationship between the Panel and the courts is explored. Suggestions are made for improvements but on the whole, the Panel's work is strongly supported.

Book Description
The Takeovers Panel and Takeovers Regulation in Australia is the first detailed analysis of the Australian Takeovers Panel, the regulatory body for takeovers in Australia, whose key power is to declare circumstances relating to a takeover to be unacceptable. Although the first ten years of the Panel are regarded as unsuccessful (only four matters were considered by the Panel), since 2000, it has considered more than 300 matters. It is regarded as having made a very important contribution to the effective regulation of takeovers in Australia. Ian Ramsay brings together leading takeovers practitioners to consider the functions and powers of the Panel, explore why it was established, provide an assessment of its work, examine key issues and discuss possible reforms that would make the Panel even more effective.

Book Description
The Takeovers Panel reached its fifth anniversary of resolving takeover disputes in place of the courts in March 2005. As a result, there has been a fundamental change to the processes of dispute resolution in Australian takeover law. This article provides an empirical analysis of the Panel's decision-making over the five year period. It analyses the decisions in relation to the material referred to, the areas of law and policy that have been discussed and the circumstances in which the Panel has made declarations of unacceptable circumstances and consequential orders. A number of interesting trends emerge from this analysis, particularly in relation to the basis upon which declarations and orders have been made.

Book Description
This paper presents the results of an empirical study of the Australian Takeovers Panel. The Takeovers Panel is the primary forum for resolving disputes about a takeover bid while the takeover is underway. The Takeovers Panel was established in 2000 and replaced the earlier Panel which was widely regarded as ineffective, hearing very few matters and the extent of its powers being subject to extensive litigation in the courts. The new Takeovers Panel was given enhanced powers with the objective of enabling the Panel to replace the courts as the primary forum for the resolution of takeovers disputes. It was expected that the new Panel would be able to facilitate resolutions to takeovers disputes more rapidly, informally and cost effectively than the courts. All decisions of the Takeovers Panel during the first 5 years of its existence (2000-2005) were examined. The study provides insight into how the Panel has operated since 2000 and how effective it has been in terms of matters such as the time taken to reach decisions. Issues examined include: how active is the Takeovers Panel?; who makes applications to the Panel?; speed of decision making; the Panel as a facilitator of takeover bids; the basis for applications and the basis for decisions; size of companies involved in Panel applications; industry classification of companies involved in Panel applications; and appeals against decisions of the Panel.

Book Description
While Western economies generally display dispersed shareholding in listed companies, Asian economies commonly have concentrated shareholding also in publicly listed companies. The principal analysis in Comparative Takeover Regulation relates to the role of takeover regulation in different economies. In the Asian context, the nature of takeover regulation may necessitate a different approach, with greater emphasis on the mandatory bids and disclosure of substantial shareholding. The likelihood of hostile takeovers will be minimal. It is these differences among various jurisdictions that strike at the heart of Varottil and Wan's new work. Ideal for educational institutions that teach corporate law, corporate governance, and mergers and acquisitions, as well as for law firms, corporate counsel and other practitioners, Comparative Takeover Regulation provides students and scholars with brand new analysis of this increasingly important field of study.
