In 2017, the price of bitcoin skyrocketed and many investors wanted to participate in the crypto-hype. Hence, a lot of companies took the new opportunity to obtain financing by issuing crypto-assets in initial coin offerings instead of going the heavily regulated way through venture capital or initial public offerings. Besides valuable projects, many projects fail or turn out to be a scam. Retail investors are not aware of the potentially high risks of ICO investments. Regulators of most jurisdictions have not yet proposed new rules, but monitor the new phenomenon to gain insights. Many regulators stick to regulation in place and pursue case-by-case assessments in order to apply existing rules. This paper develops a taxonomy of crypto-assets based on academic literature and empirical data. The taxonomy covers embodied investor rights, security-like characteristics, and crypto-specific features being able to support regulators with their case-by-case assessment. The taxonomy helps regulators to classify crypto-assets allowing them to decide which characteristics are subject to regulation and whether new rules are necessary to ensure market integrity and investor protection. Further, the taxonomy is also designed to support issuers with the design of new crypto-assets helping them to understand which characteristics might be subject to regulation.

Part I of this Note provides a brief background of cryptocurrencies and ICOs. Part II examines historical speculative bubbles and argues that the ICO market is a speculative bubble. Part III explores characteristics of those who invest in bubbles as well as the psychological biases that those investors may encounter. It presents psychological arguments for market behavior in an effort to counter the neoclassical economic claims for why a bubble cannot occur and identifies two distinct types of investors in ICOs--the smart money investors and noise traders. Part IV discusses the limited regulations currently governing the ICO market. Finally, Part V argues that an asymmetrically paternalistic regulatory scheme is the most fitting way to regulate the ICO market. Part V does not provide a comprehensive regulatory framework; rather, it argues for light-touch regulation of ICOs and offers examples for how to implement such regulation.

What are their technologic differences and features? and how exactly can qualify cryptocurrencies as money, security or anything else and examines its legality for many aspects? And legal aspects of the initial coin offering fundraising method. In this context, this study shows an objective overview of potential answers to these questions.The research question is answered through a comparative approach that shows world legal trend on this technology. Analyses of most popular cryptocurrencies technical description reports, official public statements belong to several countries' institutions, legal codes of these countries will be used to evaluate countries' aspects to cryptocurrencies and ICOs and future possible perspectives.On this basis, it is recommended that it is still early to regulate and qualify cryptocurrencies. However, it is possible to make some clear descriptions by early adaptors of this technology. Further research could be undertaken to identify other legal possibilities it would be helpful for such regulatory bodies to bear in mind when regulating cryptocurrencies and ICOs.

This book focuses on the building of a crypto economy as an alternative economic space and discusses how the crypto economy should be governed. The crypto economy is examined in its productive and financialised aspects, in order to distil the need for governance in this economic space. The author argues that it is imperative for regulatory policy to develop the economic governance of the blockchain-based business model, in order to facilitate economic mobilisation and wealth creation. The regulatory framework should cater for a new and unique enterprise organisational law and the fund-raising and financing of blockchain-based development projects. Such a regulatory framework is crucially enabling in nature and consistent with the tenets of regulatory capitalism. Further, the book acknowledges the rising importance of private monetary orders in the crypto economy and native payment systems that do not rely on conventional institutions for value transfer. A regulatory blueprint is proposed for governing such monetary orders as 'commons' governance. The rise of Decentralised Finance and other financial innovations in the crypto economy are also discussed, and the book suggests a framework for regulatory consideration in this dynamic landscape in order to meet a balance of public interest objectives and private interests. By setting out a reform agenda in relation to economic and financial governance in the crypto economy, this forward-looking work argues for the extension of 'regulatory capitalism' to this perceived 'wild west' of an alternative economic space. New technologies are driving transformational changes in the global financial system. Virtual currencies (VCs) and the underlying distributed ledger systems are among these. VCs offer many potential benefits, but also considerable risks. VCs could raise efficiency and in the long run strengthen financial inclusion. At the same time, VCs could be potential vehicles for money laundering, terrorist financing, tax evasion and fraud. While risks to the conduct of monetary policy seem less likely to arise at this stage given the very small scale of VCs, risks to financial stability may eventually emerge as the new technologies become more widely used. National authorities have begun to address these challenges and will need to calibrate regulation in a manner that appropriately addresses the risks without stifling innovation. As experience is gained, international standards and best practices could be considered to provide guidance on the most appropriate regulatory responses in different fields, thereby promoting harmonization and cooperation across jurisdictions.
