A partir d'une problématique générale de transparence de l'information divulguée par les entreprises, nous avons essayé d'étudier les déterminants de la communication volontaire de l'information dans le contexte français. Les années d'études sont 2004 et 2007. Les entreprises sélectionnées sont celles constituant l'indice SBF 120. Les déterminants ont été regroupés en trois groupes de variables (Caractéristiques intrinsèques des firmes, Pouvoir des parties prenantes et Pratiques de bonne gouvernance). Nous avons adopté une approche hypothético-déductive et une démarche essentiellement quantitative. Les principaux résultats de la recherche découlant des analyses uni-variées suggèrent que le niveau de divulgation volontaire est positivement lié à la taille, au niveau d'endettement, à la performance (caractéristiques intrinsèques des firmes), à l'exposition médiatique (pouvoir des parties prenantes) et à la conformité des conseils d'administration et des comités d'audit à certaines pratiques de bonne gouvernance. Par ailleurs, les résultats multi-variés montrent que la conformité aux pratiques de bonne gouvernance expliquent jusqu'à 38% du niveau de divulgation des entreprises françaises, que les caractéristiques intrinsèques des firmes françaises (Taille, Niveau d'endettement et Performance) expliquent jusqu'à 23% du niveau de divulgation des entreprises et que la pression exercée par les parties prenantes n'explique que 7% du niveau de divulgation. Par ailleurs, les trois groupes de variables insérés dans un même modèle de régression arrivent à expliquer jusqu'à 56% du niveau de divulgation et les variables de gouvernance constituent les variables qui ont le plus de poids explicatif. Les résultats de nos études suggèrent aussi que les déterminants de la divulgation volontaire de l'information ne semblent pas être les mêmes pour les entreprises de petite taille et les entreprises de grande taille.

'Investor Protection and Corporate Governance' analyzes the impact of corporate governance on firm performance and valuation. Using unique datasets gathered at the firm-level the first such data in the region and results from a homogeneous corporate governance questionnaire, the book examines corporate governance characteristics, ownership structures, dividend policies, and performance measures. The book's analysis reveals the very high levels of ownership and voting rights concentrations and monolithic governance structures in the largest samples of Latin American companies up to now, and new data emphasize the importance of specific characteristics of the investor protection regimes in several Latin American countries.
