UE del 14 dicembre 2022, con il raffronto tra queste, la disciplina del codice civile e quella del Codice della crisi; influenza dei fattori ESG sugli obblighi dei componenti dell’organo amministrativo delle società di capitali e ricadute in termini di responsabilità in caso di mancato perseguimento degli interessi ESG; “nuovi” doveri in capo alle società di persone, con particolare enfasi sulle ricadute sui bilanci e sugli assetti contabili; rapporto tra tutela della concorrenza (art. 101 TFUE) e collaborazioni di sostenibilità tra imprese; politiche sulla remunerazione ed effetti sulla sostenibilità dell’attività d’impresa; utilizzo del Legal Design quale vantaggio competitivo per l’impresa sostenibile ed inclusiva, con particolare riferimento alle Società Benefit (commi 375-384, legge n. 208/2015) per le quali il perseguimento di finalità ESG è un obbligo legale e statutario.
