El nuevo Derecho de sociedades y la normas orientadas a disciplinar los mercados financieros han venido descubriendo durante los últimos años múltiples y muy diversos puntos de confluencia. En muchos casos, este fenómeno debe achacarse a la coincidencia de objetivos que ambas áreas jurídicas han ido descubriendo por efecto del creciente protagonismo del gobierno de las sociedades cotizadas. Un ejemplo claro de ello lo constituyen los deberes que han acabado por imponerse a ciertos inversores institucionales y, en el caso concreto del Derecho español, a las Sociedades Gestoras de fondos de inversión. Tales deberes imponen a estas instituciones la necesidad de implicarse de forma mínimamente activa en la labor de fiscalización o «monitorización» de la administración y dirección de las sociedades, en particular las cotizadas, que siempre se ha querido para la Junta General y que tan abandonada se halla desde hace ya décadas. La presente obra pretende proporcionar un análisis del fundamento y de la articulación técnica de dicho deber, especialmente de cara a su encaje en el marco jurídico societario en el que está llamado a funcionar, pues tales extremos son los que en buena medida determinarán su eficacia respecto del objetivo planteado.
