This report presents an analysis of the flow-down of risk reducing and incentive provisions from prime contracts to selected, associated subcontracts for four major weapon systems: The XM1 tank, YAH-64 helicopter, Harpoon missile, and B-1 bomber. Emphasis was placed on the subcontracting precepts and practices of prime contractors with analysis based on the comparisons of contracts and comments from four primes and selected subcontractors. It was found that, by and large, the subcontracting process is functioning in a satisfactory manner within existing DoD guidelines. Subcontractors occasionally have problems when inappropriate contract types or inappropriate option clauses are used, but generally both prime contractors and subcontractors are satisfied with their working relationships. Prime contractors, in the subcontracting process, adhere to DoD regulations, have established procedures to insure competition, and attempt to balance risk and contract type. Subcontractors actively seek work on defense programs and accept as a rule, though sometimes reluctantly, the contract type dictated by the prime. The subcontract type in development programs is more related to the size of subcontract than to the size of the subcontractor. This report does not recommend any new mandatory flow-down of prime contract provisions to associated subcontractors. It does recommend monitoring of subcontract type and provision for economic price adjustments in fixed-price subcontract options. (Author).

This thesis examines the appropriateness of the government's policy on subcontracting in major systems acquisition and the procedures used to achieve visibility of and leverage on a prime contractor's subcontract management. Based upon a literature review of the subject, a survey instrument was developed and distributed to gain field perspective on the issue. The survey data was analyzed using non-parametric statistical techniques and provided the basis for the study conclusions and recommendations. The perspective expressed by acquisition management practitioners is that the current policy to rely on a prime contractor to manage subcontracted effort is inadequate to undertake an active role in subcontract management. Additionally, the procedures used to achieve visibility over and leverage upon a prime contractor's subcontract management are effective. Some remedial actions are warranted, however, to achieve the benefits of the synergistic application of the procedures.

According to some Department of Defense (DOD) and industry experts, consolidation of the defense industry along with a shift in prime-contractor business models has resulted in prime contractors subcontracting more work on the production of weapon systems and concentrating instead on systems integration. Based on some estimates, 60 to 70 percent of work on defense contracts is now done by subcontractors, with certain industries aiming to outsource up to 80 percent of the work. At the same time, there is evidence that subcontractor performance may contribute to cost and schedule delays on weapon system programs. Congress has raised questions about the extent to which primes are awarding subcontracts competitively and about the government's insight into the process prime contractors use for determining what work to make in-house and what work should be bought from subcontractors (make-or-buy decisions).1 In the 2009 Weapon Systems Acquisition Reform Act (WSARA), Congress directed DOD, as part of efforts to improve competition throughout the life cycle of major defense programs, to ensure that contractors? make-or-buy decisions are fair and objective. Specifically, the Secretary of Defense was directed to require prime contractors to give full and fair consideration to qualified sources other than the prime contractor for the development or construction of major subsystems and components of major weapon systems. These actions were to be taken by November 22, 2009. Congress also directed DOD to revise its acquisition regulation regarding organizational conflicts of interest (OCI). In response to both of these requirements, DOD has drafted revisions to its acquisition regulation that are pending final approval.
