Excerpt from Reports of Cases Argued and Determined in the Court of Chancery, the Prerogative Court, And, on Appeal, in the Court of Errors and Appeals of the State of New Jersey, Vol. 2 There being a legitimate purpose for what these roads may be constructed and used, and for which a junction between them may be formed, the defendants cannot be restrained from effecting such junction, merely be cause it may be perverted to an unlawful purpose. The fact that either of said roads, or the connection between them, is being constructed without lawful authority, constitutes no ground for equitable relief against said construction at the instance of the complain ants, unless their rights will be thereby violated. The answers of the defendants held to be a full denial of the equity of the complainants' bill, and although such unauthorized construction and connection of the roads may afford evidence of a fraudulent design to violate the rights of the complainants, it is not sufficient, on a motion for a preliminary injunction, to overcome the answers of the defendants. Ryerson and wife, and others, to foreclose a mortgage, dated July 10th,1835, given by Ryerson and his wife to the said com pany, to secure the payment of a bond of the same date, given by Ryerson to the company, conditioned for the payment of in five years from date, with interest, payable half yearly; with a provision that in case the interest should at any time be in arrear for ninety days, the whole principal should be forthwith paid. Two years' interest was due when the bill was filed. To this bill Ryerson filed an answer, on the 24th May 1841, setting up usury. On the 6th of July, 1842, the com pany made an assignment to Patrick mccauley, Geo. F. Talman and Anthony Barclay, in trust, &c. The opinion of Judge Lacombe in the ferry-waring Company suit does not expressly decide the issue now raised, as to the distinction between stays and rings under the Ferry patents, nor was that issue precisely raised. It is not therefore conclusive on the question and its bearing on this question is therefore to be considered only in connection with the evidence given at the hearing upon this subject. 6 Beach. As to the second question, further consideration confirms my impressions indicated at the hearing, that under the circum stances proved, complainant's representation or claim that the stays in question were covered by its patents, was bona fide and honestly made, and was a representation or claim which, in bargaining with defendants as to a license, it committed no fraud in making, and that the defendants being at that time actually claiming and acting on an adverse title - being the same title which they now set up and seek to establish by evidence were not entitled to act on this representation or claim of title made by complainant as the assertion of a fact, the falsity of which, subsequently proved, would entitle them to repudiate the contract on this ground. N o authorities have been referred to establishing that representations of this character, made under these circumstances, are representations of fact on which de fendant had then the right to rely, but might subsequently dis prove, when it so elected, by disputing the license.
