Les contrats de fourniture de savoir-faire et d'assistance technique sont des contrats nouveaux, issus de la pratique contractuelle. Ce sont les formes les moins répandues et les moins connues dans le transfert international de technique : l'hétérogénéité et la complexité de leur contenu rendent de plus en plus difficile de donner une définition juridique bien précise. En effet, toutes les définitions qui leur ont été consacrées se sont avérées incomplètes. Ainsi, rechercher leur nature juridique revient forcément à déterminer à quel ordre juridique appartiennent ceux-ci; ce qui pose un autre problème. D'ailleurs, la nécessité de faire référence à des formes juridiques différentes, voire antithètique, traduit bien l'ambiguité de rattacher ces contrats à une catégorie juridique bien déterminée. L'étude, ensuite du contenu de ces contrats fait apparaitre diverses obligations à la charge des parties. L'exécution de celles-ci suppose non seulement la bonne foi et la bonne volonté des contractants, mais également une grande précision dans la rédaction des clauses du contrat. Or, la pratique contractuelle est loin de confirmer le respect de ces conditions indispensables à la réussite de tout transfert technologique. En effet, à travers notre développement, nous avons essayé de voir si les obligations du fournisseur répondent au non à l'objet du contrat d'une part, et aux besoins implicites du receveur d'autre part. Malheureusement nous avons constaté que l'exécution des obligations à la charge du fournisseur ne peut se faire sans poser des problèmes délicats. Ceci semble empêcher le receveur de poursuivre non seulement la satisfaction de ses besoins, mais encore d'atteindre son objectif, à savoir la production autonome. A côté de ces difficultés succintement rappelées, il faudra mentionner l'absence de garanties sérieuses que doit fournir l'agent économique vendeur. Ainsi seules les obligations de moyens sont envisagées dans ce type de contrats; les obligations de résultat sont, par contre, expressement exclues. En définitive, il faut reconnaitre que des lacunes existent réellement dans ces deux types de contrat quelle que soit la volonté des parties, car celles-ci ne peuvent être comblées que si le fournisseur tient compte de l'intérêt du receveur.
