It has been deemed advisable to print in an appendix the proposed Sales Act, recommended by the Commissioners on Uniform State Laws, which has already been enacted in sev eral states, and which bids fair, like the Negotiable Instru ments Law, to be adopted generally. The act, like the English Sale of Goods Act, on which it is based, is in the main declara tory of the law, and is valuable as furnishing statements of rules which, for the most part, are of universal application. To a great extent, the statement of rules and principles in the black-letter text has been made to conform to the language of the Sales Act. Excerpt from Handbook of the Law of Sale of Goods The Sale of Goods Act, 1893, by which the law relating to the sale of goods was codified in the United Kingdom, has now been adopted, with slight modifications, in all the provinces of Canada except Quebec, the process of adoption having been completed by the enactment in Ontario of the Sale of Goods Act, 1920. Prior to the adoption of the stat ute there existed, especially in Ontario, a considerable body of case law. This case law is of course now authoritative only so far as it is consistent with the statute; but for the most part they are' in accord with each other, and the de cisions furnish useful illustrations of the statute. The arrangement of the statute is followed in the main, but in some respects the scheme of the book has necessitated some change in the order of the statutory provisions. The design of the book is to make the statute more readily avail able and more useful in Canada, and references are given to a relatively large number of recent English and Canadian cases. The alphabetical index is supplemented by an unus ually full table of contents, and the comparative table of section numbers will, it is hoped, enable a reader readily to compare the statute in force in one province with that in force in any other province or in the United Kingdom. To some extent these rules are formulated and declared by legislative author ity. Most of them, however, have been evolved by judges themselves. These latter rules are not always easy to formulate; if they were, there would be no need for real text-books. Even the precise utterances of various judges can not always be accepted as rules. I believe that no judge has power, either practically or theoretically, to bind other judges by any declaration of rule or command, but that the only obligation felt by courts is the obligation to con form to prior judicial action. Keeble Company, instead of having the cotton stored in the warehouse of Phillips 81 Parish, had retained possession of it until, without any authority or license from the appellee, the cotton itself was delivered to the bank in pledge to secure the payment of the note of the H. C. Keeble Company, it is plain that the bank would not have acquired any greater title to the property than that company had to confer, and the appellee would have been entitled to recover the cotton from the bank, or to hold the bank liable for its conversion. But it is claimed that the factor, having stored the cotton in a warehouse, and obtained warehouse receipts therefor to itself, was enabled, by the transfer Of those receipts, to confer upon the bank a claim to the cotton which must prevail against the title of the true owner. Section 1178 Of the Code is relied upon as giving this effect to the transfer Of warehouse receipts by the persons to whom they are issued. The clause of that section upon which this claim is based is in the following words: The receipt of a ware houseman, on which the words 'not negotiable' are not plainly writ ten or stamped, may be transferred by the indorsement thereof, and any person to whom the same is transferred must be deemed and taken to be the owner of the things or property therein specified, so far as to give validity to any pledge, lien, or transfer made or created by such person.
