Après une présentation du secteur public concurrentiel : son histoire, son poids et sa justification économiques, la première partie de l'étude aborde le problème de sa gestion : à quels objectifs répond-elle et quelle est son efficacité? A la lumière de la théorie financière et de celle des droits de propriété et grâce à un diagnostic financier portant sur 21 des 26 groupes publics concurrentiels entre 1978 et 1984 apparaissent une dégradation de la rentabilité, une croissance de l'endettement et une autonomie accrue des dirigeants. Pour remédier aux pratiques discrétionnaires des managers : abandon des objectifs d'intérêt public et stratégie de croissance externe, la solution consiste en un renforcement du contrôle, une amélioration de la qualité des titres de propriété de l'Etat notamment en imposant à ses entreprises une politique de dividendes élevés et réguliers. La seconde partie examine la solution préconisée par l'Etat, c'est-à-dire l'émission de titres participatifs qui vise à reconstituer les fonds propres de ces entreprises en recourant à l'épargne publique. L'absence de droit de vote et le mode de rémunération empêchent les titres participatifs de jouer leur rôle ce que confirme le jugement des analystes financiers recueilli par questionnaire. Une analyse factorielle des correspondances permet notamment de comparer les 5 principaux titres actuellement cotés. Par ailleurs, en application de la théorie des options, une famille de modèles d'évaluation des titres participatifs est élaborée puis soumise à un premier test empirique.
