Book Description
When the Maastricht Treaty on European Union was finally ratified in 1993, many EU observers and participants expressed serious doubts that economic and monetary union (EMU) would ever take place. Nevertheless, five years later EMU took flight, on 1 January 1999, as planned. It is this puzzle that this article seeks to explain. It does so by focusing on how EU institutions completed the incomplete contract agreed by the Member States at Maastricht.

Reflecting the most recent changes in the law, the third edition of this popular textbook provides a fully updated, comparative introduction to the law of contract. Accessible and clear, it is perfectly pitched for international students and courses with a global outlook. Jan Smits’ unique approach treats contract law as a discipline that can be studied on the basis of common principles and methods without being tied to a particular jurisdiction or legal culture. Notable updates include the consequences of Brexit, the implementation of new European directives 1999/770 and 2019/771 as well as coverage of the effect of COVID-19 on contracts.

Book Description
What happens when contracting parties do not expressly provide for a particular situation in their agreement? Is intervention by the courts or legislature to fill gaps in contracts justified? How should those gaps be filled? This book is unique in the way it combines comparative and theoretical perspectives to provide answers to these questions. From a comparative law perspective, relatively little attention has been given to the different interpretative and gap filling techniques available in different legal systems. A comparison of the approach to contract interpretation and gap filling in England, Germany and the Netherlands is therefore provided in this book. Comparative observations are also made in light of the CISG, PECL and the Unidroit Principles for International Commercial Contracts. This book also contains a theoretical component that draws insights and inspiration from autonomy-based theories of contract, law and economics, notions of fairness and socio-legal perspectives to establish why contracting parties leave gaps in their contracts, whether intervention is justified and, if so, how gaps in contracts should be filled. The final part of this book builds on the comparative and theoretical perspectives to develop an interpretative and gap filling strategy that combines responses from contracting parties, the contracting community, the legislature and the courts.

Book Description
The provisions of the French Civil Code governing the law of obligations have remained largely unchanged since 1804 and have served as the model for civil codes across the world. In 2016, the French Government effected major reforms of the provisions on the law of contract, the general regime of obligations and proof of obligations. This work explores in detail the most interesting new provisions on French contract law in a series of essays by French lawyers and comparative lawyers working on French law and other civil law systems. It will make these fundamental reforms accessible to an English-speaking audience.

Book Description
From its antecedents in the 1950s, successive forms of European integration were intended to be leaderless. They have succeeded only too well in demonstrating that much can be achieved without sustained leadership. The attachment to national sovereignty of most of the European elites and mass populations has meant that confederalism has been implicitly accepted for the foreseeable future. This book attempts to clarify three clusters of issues. First, as European integration has advanced, who has provided the impetus? Particular insiders have episodically exerted decisive innovative influence, despite the need to conciliate the jealous champions of national sovereignty. Three case studies are offered: economic and monetary policy, environmental policy and technology policy. The second part examines why the European Union is currently leaderless. The weakened Commission and the increasingly assertive European Council and Council of Ministers have contended for control of agenda-setting but it is in the sphere of foreign and security policy that the EU's logic of leaderlessness has been most conspicuous. Finally, reduced capacity of the Franco-German tandem to offer acceptable leadership and British incapacity to join or replace them in providing overall leadership is also discussed.
