Employees and Corporate Governance
Author: Margaret M. Blair
Publisher: Brookings Institution Press
ISBN: 9780815707073
Category : Business & Economics
Languages : en
Pages : 376
Book Description
Most scholarship on corporate governance in the last two decades has focused on the relationships between shareholders and managers or directors. Neglected in this vast literature is the role of employees in corporate governance. Yet "human capital," embodied in the employees, is rapidly becoming the most important source of value for corporations, and outside the United States, employees often have a significant formal role in corporate governance. This volume turns the spotlight on the neglected role of employees by analyzing many of the formal and informal ways that employees are actually involved in the governance of corporations, in U.S. firms and in large corporations in Germany and Japan. Examining laws and contexts, the essays focus on the framework for understanding employees' role in the firm and the implications for corporate governance. They explore how and why the special legal institutions in German and Japanese firms by which employees are formally involved in corporate governance came into being, and the impact these institutions have on firms and on their ability to compete. They also consider theoretical and empirical questions about employee share ownership. The result of a conference at Columbia University, the volume includes essays by Theodor Baums, Margaret M. Blair, David Charny, Greg Dow, Bernd Frick, Ronald J. Gilson, Jeffrey N. Gordon, Nobuhiro Hiwatari, Katharina Pistor, Louis Putterman, Edward B. Rock, Mark J. Roe, and Michael L. Wachter. Margaret M. Blair is a senior fellow in Economic Studies at the Brookings Institution and author of Ownership and Control: Rethinking Corporate Governance for the Twenty-first Century (Brookings, 1995). Mark J. Roe, professor of business regulation and director of the Sloan Project on Corporate Governance at Columbia Law School, is the author of Strong Managers, Weak Owners: The Political Roots of American Corporate Finance (Princeton, 1996).

Suiting Themselves
Author: Sharon Beder
Publisher: Routledge
ISBN: 113655629X
Category : Business & Economics
Languages : en
Pages : 267
Book Description
In this brilliantly researched expos 'communications Rottweiler' Sharon Beder blasts open the backrooms and boardrooms to reveal how the international corporate elite dictate global politics for their own benefit. Beder shows how they created business associations andthink tanks in the 1970s to drive public policy, forced the worldwide privatization and deregulation of public services in the 1980s and 1990s (enabling a massive transfer of ownership and control over essential services) and, still not satisfied, have worked relentlessly since the late 1990s to rewrite the very rules of the global economy to funnel wealth and power into their pockets. Want a globalized and homogenized world of conflict, poverty and massive environmental degradation run by a corporate oligarchy that wipes its feet on democracy? Or a democratic world, where poverty is history, companies work for people and clean water is a right, not a privilege you pay for? Beder‘s message is clear - it‘s your world, and it‘s time to fight for it.

Cross-border Banking: Regulatory Challenges
Author: Gerard Caprio Jr
Publisher: World Scientific
ISBN: 981447780X
Category : Business & Economics
Languages : en
Pages : 491
Book Description
Cross-border banking, while having the potential for a more efficient financial sector, also creates potential challenges for bank supervisors and regulators. It requires cooperation by regulatory authorities across jurisdictions and a clear delineation of authority and responsibility. That delineation is typically not present and regulatory authorities often have significantly different incentives to respond when cross-border-active banks encounter difficulties. Most of these issues have only begun to be seriously evaluated. This volume, one of the first attempts to address these issues, brings together experts and regulators from different countries. The wide range of topics discussed include: the current landscape of cross-border bank activity, the resulting competitive implications, emerging challenges for prudential regulation, safety net concerns, failure resolution issues, and the potential future evolution of international banking. This book has been selected for coverage in:• Index to Social Sciences & Humanities Proceedings® (ISSHP® / ISI Proceedings)• Index to Social Sciences & Humanities Proceedings (ISSHP CDROM version/ISI Proceedings)

Governing Finance
Author: Andrew Walter
Publisher: Cornell University Press
ISBN: 0801458153
Category : Business & Economics
Languages : en
Pages : 255
Book Description
The international financial community blamed the Asian crisis of 1997–1998 on deep failures of domestic financial governance. To avoid similar crises in the future, this community adopted and promoted a set of international "best practice" standards of financial governance. The G7 asked specialized public and private sector bodies to set international standards, and tasked the International Monetary Fund and the World Bank with their global dissemination. Non-Western countries were thereby encouraged to emulate Western practices in banking and securities supervision, corporate governance, financial disclosure, and policy transparency. In Governing Finance, Andrew Walter explains why Indonesia, Malaysia, South Korea, and Thailand—key targets and test cases of this international standards project—were placed under intense pressure to transform their domestic financial governance. Walter finds that the depth of the economic crisis, and more enduring aspects of Asian capitalism, such as family ownership of firms, made substantive compliance with international standards very costly for the private sector and politically difficult for governments to achieve. In spite of international compliance pressure, the result was varying degrees of cosmetic or "mock" compliance. In a book containing lessons for any agency or country attempting to implement lasting change in financial governance, Walter emphasizes the limits of global regulatory convergence in the absence of support from domestic politicians, institutions, and firms.
