Par le Protocole de Kyoto, les pays développés se sont engagés à réduire leurs émissions de gaz à effet de serre (GES) d’au moins 5% par rapport aux niveaux de 1990 sur une période allant de 2008 à 2012. Cet engagement est assorti de mécanismes dits « flexibles » par lesquels ces Etats sont autorisés, soit à échanger entre eux des droits d’émission de GES, soit à développer entre eux, des projets industriels ou énergétiques réducteurs de GES (procédure de la Mise en Oeuvre Conjointe - MOC), soit, enfin, à réaliser dans les pays en développement des projets réducteurs de GES selon le Mécanisme de Développement Propre (MDP). De tous ces mécanismes, le MDP revêt une importance particulière tant par sa nature que par son potentiel économique et financier. Politiquement, il se présente comme le seul mécanisme par lequel les pays en voie de développement contribuent de façon volontaire aux réductions d’émissions de GES tout en accueillant des technologies contribuant à leur développement. Sur le plan financier, les « crédits carbone » que le MDP devrait générer sur la période de 2008 à 2012, atteindraient plus de 3,7 milliards de tonnes métriques d'équivalent-CO2 soit environ 75 milliards de dollars. Formidable enjeu écologique et financier, le MDP se fonde sur des procédures totalement novatrices qui trouvent leur origine dans le droit international public mais combinent, dans leur application, des techniques juridiques et financières sui generis que seule une perspective nouvelle permet d’embrasser dans leur totalité. Tel est le but de cet ouvrage qui décrit l’ensemble de la législation des Nations Unies dans ses grandes lignes jusque dans ses textes les plus détaillés et ce, aussi bien dans ses aspects généraux que procéduraux, une grande place étant accordée à la méthode et aux conditions de présentation des projets à l’approbation des Nations Unies. Enfin, les transactions relatives aux crédits carbone, notamment les contrats de vente et les opérations financières qui s’y rapportent y sont abordées sous la forme de l’étude commentée des différents modèles de contrats types. Les entreprises et les juristes attendaient un tel ouvrage puisqu’il n’en existe aucun. Les premières y trouveront les informations pratiques leur permettant l’étude et la mise en oeuvre de leurs projets. Les seconds y découvriront, en outre, des éléments servant de base à une réflexion sur une branche nouvelle du droit.
