Trata-se de um estudo dos objetivos do Direito dos Contratos no Brasil. Preliminarmente, são apresentados a função do contrato e os três objetivos do Direito dos Contratos conforme a doutrina da Análise Econômica do Direito: cooperação, correção de falhas de mercado e exequibilidade. Em seguida, é proposto um novo objetivo possível do direito dos contratos, ao qual se deu o nome de Ação Política do Direito dos Contratos. Subsequentemente, passa-se à análise do direito brasileiro tendo em vista os objetivos do Direito dos Contratos propostos. Demonstra-se que a legislação brasileira soluciona expressamente os três primeiros objetivos do direito dos contratos, mas trata apenas implicitamente da Ação Política do Direito dos Contratos, na forma da função social do contrato. Análise de decisões do Superior Tribunal de Justiça, por outro lado, comprovou que as cortes brasileiras efetivamente aplicam a Ação Política do Direito dos Contratos. Por fim, o estudo explora as possíveis consequências da adoção da Ação Política do Direito dos Contratos como um dos objetivos da legislação e jurisprudência brasileiras, sob a perspectiva do Behaviorismo Radical e da doutrina associada ao Direito e Desenvolvimento.

This book stems from the CyberBRICS project, which is the first major attempt to produce a comparative analysis of Internet regulations in the BRICS countries – namely, Brazil, Russia, India, China, and South Africa. The project has three main objectives: 1) to map existing regulations; 2) to identify best practices; and 3) to develop policy recommendations in the various areas that compose cybersecurity governance, with a particular focus on the strategies adopted by the BRICS countries to date. This book examines national reports on contract law in each of the BRICS countries (Brazil, Russia, India, China and South Africa) in order to provide a comparative analysis. It then establishes common principles, where possible, as well as a set of general “soft law” principles governing international commercial contracts in these countries. The importance of commercial transactions in the BRICS countries is rapidly growing, yet differences in contract law among these countries can lead to misunderstandings and disputes. The rapid development of the BRICS instruments (and the legal implications of their use) suggests the need to address common legal issues that could harm the continued development of the BRICS economies. Contract law represents one of the core areas in which this process can take place. A distinguished Yale economist and legal scholar’s argument that law, of all things, has the potential to rescue us from the next economic crisis. After the economic crisis of 2008, private-sector spending took nearly a decade to recover. Yair Listokin thinks we can respond more quickly to the next meltdown by reviving and refashioning a policy approach whose proven success is too rarely acknowledged. Harking back to New Deal regulatory agencies, Listokin proposes that we take seriously law’s ability to function as a macroeconomic tool, capable of stimulating demand when needed and relieving demand when it threatens to overheat economies. Listokin makes his case by looking at both positive and cautionary examples, going back to the New Deal and including the Keystone Pipeline, the constitutionally fraught bond-buying program unveiled by the European Central Bank at the nadir of the Eurozone crisis, the ongoing Greek crisis, and the experience of U.S. price controls in the 1970s. History has taught us that law is an unwieldy instrument of macroeconomic policy, but Listokin argues that under certain conditions it offers a vital alternative to the monetary and fiscal policy tools that stretch the legitimacy of technocratic central banks near their breaking point while leaving the rest of us waiting and wallowing.
