Business corporations can and do violate human rights all over the world, and they are often not held to account. Emblematic cases and situations such as the state of the Niger Delta and the collapse of the Rana Plaza factory are examples of corporate human rights abuses which are not adequately prevented and remedied. Business and human rights as a field seeks to enhance the accountability of business – companies and businesspeople – in the human rights area, or, to phrase it differently, to bridge the accountability gap. Bridging the accountability gap is to be understood as both setting standards and holding corporations and businesspeople to account if violations occur. The present general corporation law herein considered, is Delaware's second general law of this nature, and was passed in conformity with the requirements of the constitution (article IX, section I), viz.: That no corporation shall be created by special act, but only by general law. The first law, that of 1883, while liberal in its provisions, applied to a limited class of business concerns, and prior to this law, all charters for incorporated companies were granted by special act of the legislature. In this edition those sections of the law (Nos. 67 to 126 inclusive) relating to public or quasi-public corporations, are not treated of, it being the intention to confine the limits of this work to such corporations as may be termed "Private Companies." As the Delaware corporation law in many of its provisions closely resembles the corporation act of New Jersey, and as there have been many decisions of the courts of that state determining the scope and powers of said act, citations of such cases have largely been made in this volume.
