Le référencement dans l'internet peut s'effectuer dans un outil de recherche ou par un lien hypertexte. Le droit qui lui est applicable dépend, pour une large part, des techniques utilisées. De facon schématique, lorsque le référencement est effectué par un moteur de recherche, outil automatique, la responsabilité de ce dernier ne devrait pas être engagée. En revanche, celle des fournisseurs d'annuaire et de lien hypertexte, comme celle du fournisseur du contenu référencé, ne devrait pas poser de difficulté. En effet, dans ces cas, le référencement est effectué de façon manuelle, en pleine connaissance de cause. Les fondements de la responsabilité sont essentiellement le droit de la propriété intellectuelle, le droit de la distribution, le droit des données personneles, et le droit de la presse. En dehors de la responsabilité, le droit du référencement dans l'internet, a pour objet le droit des contrats. En effet, de nombreux contrats sont conclus entre les différents protagonistes. Ces contrats sont relatifs aussi bien aux outils de recherche qu'aux liens hypertextes. Ils ont pour objet essentiel le référencement dans ou par ces outils, et sont conclus principalement entre le fournisseur de l'outil et le référencé. En ce qui concerne les moteurs, des tiers prestataires, appelés référenceurs, peuvent en outre servir d'intermédiaires, comme mandataire des référencés.
